ADENSECRET PLATFORM CONTRACT

This document states out the legal agreement between Adensecret and designers who sell their works on adensecret.com. In situations of legal issues, this document can be used as evidence to procure justice to the deserving party.

SECTION 1 Adensecret & Designers Relationship

The only relationship between adensecret and all designer selling on adensecret.com is that of a professional status. Every interaction concerning adensecret.com should be treated as such.

ADESECRET responsibilities in this business are

1. Maintain all feature necessary to provide a shop able platform, adensecret.com
2. Designer will to ship directly to customers or use our fulfilment service.
3. For Fulfilment service, we Package and ship the purchased products to the customers from our office in Midland Tx.
4. Marketing efforts using platforms like social media, fashion bloggers, and other rewarding means of advertising.

Disclaimer: In situation where shipment doesn't get to Midland TX after payment. This will be regarded as business loss. ADENSECRET will NOT be responsible to bear the cost of lost shipments. ADENSECRET will provide receipt or other financial evidence proving that our end (paying for shipment) was fulfilled.

ADENSECRET cannot guarantee that your product on our site will sell. Every product on adensecret.com will receive adequate marketing and publication on the site to ensure exposure to customers.

Factors that increases customer purchase

• Photo quality: Photos are the most important part of any online store. Great photo gets better sales. Use good professional photographers for best quality photos.
• Price: The more affordable your prices are, the higher the chances of selling them.
• Product description: Good description alerts customers what they should expect. This decrease return rate due to disappointment, ending in bad reviews. This will hurt your reputation and cost you sales. Good product description includes, relatable product title, a short description of the product including the material used and how it feels, the sizes and accurate size chart for customers to use, color(s). Please try imitating product descriptions of big designer stores like Macys, Forever 21, etc.

SECTION 2 - Designers Responsibilities

1. Sign-up & Subscribe: Selling with requires designer to sign up and pick one of our packages. Each package has a monthly due that designer must fulfill once their application is approved.
2. Designer Profile: Every designer has private seller profile where they can write about themselves and their brand, their location, policy (must use Adensecret policy), size measurements they use, upload their brand logo, upload products, edit products, see orders and status (New, Fulfilled, delivered), change order status when they ship them, upload tracking number for orders fulfilled, see customer feedback and rating on them as designer (not their product). Customer can also view all your current listing when they enter your profile. The more product listed the higher the chance of getting sales
3. Making & Listing Product. Designers are responsible for uploading their products on our site. Every uploaded product will undergo a review period, roughly 12 – 24 hours. Irrespective of the package you are on, all products will be reviewed and listed before 24 hours.
4. Writing Product Description. Designers should be familiar with good choice of words to use to describe their products as where to ensure good search engine optimization. i.e easily found on the internet. Product description is 100% designer responsibility. This is subjected to be edited by ADENSECRET if errors are observed. Good description alerts customers what they should expect. This decrease return rate due to disappointment. If customer often return your products, they will leave bad reviews on your product and profile. This will hurt your reputation and cost you sales. Good product description includes, relatable product title, a short description of the product including the material used and how it feels, the sizes and accurate size chart for customers to use, color(s). Please try imitating product descriptions of big designer stores like Neiman Marcus, Forever 21, etc.
5. Product Pricing. Designers are to make the decision on how much they intend to sell their product. ADENSECRET reserves the right to decline listings with unreasonable prices.
6. Shipment:Designers have full control over shipping prices/Charges. Designers are advised to lower cost of US shipments to about $10 and include the remaining amount in the product cost. For other countries the shipping fees may be divided into two parts, part of which one part may be included in the product prices and the other part in the shipping charges, which should be about $25 or less.
7. Product Photo-shooting. Designers are responsible for providing product listing photos preferably indoor photos. Every design must be worn by a human, not mannequin. We strongly recommend that you hire models, or ask your photographer to provide few for you. We also accept street styled photos provided it is not a selfie.

• Indoor photos: At least 3 photos, showing front view, side view, and back. We recommend you use white background for your pictures, looks more professional. Watermarked photos will NOT be accepted.
• NO WATER-MARK ON ANY PHOTO.
• ADENSECRET will NOT accept any photo with poor resolution or not appropriately styled.
• By submitting your photos to ADENSECRET, you are giving us the right to use them for websites, magazines, social media, and other advertising channels as ADENSECRET property.
• Sending the photos. It is designer's chore to make sure that each photo is edited and submitted to ADENSECRET at adensecret.com. Send photos in JPEG. For photo resizing, use measure 600 by 900. Contact us for any assistance with this.

ADENSECRET is willing to do the photoshoot for designers once their products get received. We will do the photo shooting for both indoor and outdoor, this way, the designers don’t bother about the quality of the photo. See charges on our packages.

8. Product Packaging and Shipment. For designers sending ADENSECRET their product for stocking, ensure that all products are individually packaged. Put products in a clear packaging bag individually. For the designers shipping directly to customer, ensure that packages are securely packed. If a customer complains of not receiving any product shipped directly by designer, we will review the situation.
9. FULFILMENT SERVICE. Designers, who wish to stock their products with us, are responsible for getting their products to the collection center provided by ADENSECRET. ADENSECRET is NOT responsible for any loss during transition of product.

SECTION 3 FRAUDULENCE

On products arrival to United States or the customer, if any product is found to not look as portrayed in the pictures sent ADENSECRET or ordered on adensecret.com by designer, this will be considered a fraud.

If the product is found to significantly lack physical or material quality as portrayed by picture, ADENSECRET will be forced to take legal action against the designer. ADENSECRET do not and will not sell mass produced products, like cheap China made products.

If a customer complains of inferior product quality, we will investigate the matter. If a designer is found to be selling mass produced cheap quality China-made products, designer will be banned from our platform indefinitely. The designer will NEVER sell on ADENSECRET again.  

DO NOT SELL MASS PRODUCED CHEAP QUALITY CHINA-MADE PRODUCT ON ADENSECRET.COM. We do not condone disrespect of African couture. Cheapening Ankara products is a spit on our African background and heritage. We firmly stand with designers who handmade their products, and want to promote such works.

USING ANOTHER DESIGNERS IMAGE VIOLATION

ADENSECRET will NOT condone designer that uses another designer's work. Any product found or reported to be another designer's work, whether the designer sells with ADENSECRET or not, we will be forced to take down the listing and initiate an investigation. If designer is found to have copied the design, the designer will be place on a probationary period. All designer's product will be removed from adensecret.com until further notice.

ADENSECRET promotes originality. Every authentic designer deserves to reap the rewards of their hard-work.

We encourage designer to be inspired by fellow designer's works, not replicate them and call it theirs. A decent modification of another designer's work is acceptable. Using a different Ankara print is NOT a modification. By modification, we mean a complete change of features that stands out on a design.

SECTION 4 - PAYMENT METHOD AND TIMES

There are Three means of payout

• Business PayPal: Designers that wish to be paid by PayPal must have Business PayPal account (not individual account). You will only need the email you use for your business PayPal to set up this means of payment. Designers are responsible for PayPal fees.
• Internet Banking: Designers that wish to have their payments sent directly to their bank account. You will need the following information: Bank name, your account number, cardholder name, sort code/IFSC Code/routing number.
• Bank wire Transfer: Designer who wish to use this means will need the following information, Bank name, Country, Account number, Receivers full name. A $5 transfer fee applies. It will be deducted from amount transferred.

The amount to be transferred will be the remaining after deducting ADENSECRET listing charge (15% of sales). The accuracy of the information provided by the designer for this means of transaction is extremely important. ADENSECRET will not be responsible for any loss due to error by designer.

ADENSECRET will be open to suggestions by designers on better means of payout if it does not jeopardize the integrity of ADENSECRET. 

ADENSECRET Return Policy gives customers 7 days after product delivery to return their purchase and provide a tracking number. It takes about 7 - 20 days from time of purchase, to delivering product at customers door. This gives us a rough estimate of 27 days after purchase to record a purchase as sale.

ADENSECRET pays out designers twice a month; the second week and the last week of every month. Our tracking system enables us to know when any product is delivered and then starts the 7-days count. Pay out of any purchase can only be made if product delivery date is pass 7 days. If a purchase delivery date is pass 7 days, payout will be made on the next pay week. Designers will be alerted by email and text once a payout is made.

 SECTION 5 – UNSOLD/OLD PRODUCTS

ADENSECRET will leave the mark-down decisions to the designers.

SECTION 6 - CANCELLATION

Designers stocking their products with ADENSECRET.

If any designer wishes to recall his/her products, the designer will bear the cost of return shipment.

To cancel your privilege of being acknowledge as a ADENSECRET designer, and stop selling at adensecret.com, simply send us an email with your name and brand name. We will confirm via email too that you are cancelling your contract with ADENSECRET.

At this point, although we will still leave your current listings on adensecret.com, we will cease advertising your brand and product. All sales will be forwarded to designer until all listings are all sold. This is only for designers stocking their product with us.

Designers shipping directly to customers

To cancel your privilege of being acknowledge as a ADENSECRET designer, and stop selling at adensecret.com, simply send us an email with your name and brand name. We will confirm via too that you are cancelling your contract with ADENSECRET. At this point, you will be removed from our designer team and your listing disabled. Total process may take up to 48 hours.

Reminder:

ADENSECRET reserves the right to make changes to adensecret.com and this policy at any time without seeking permission from designers.

ADENSECRET reserves the right to terminate any contract with designer at any time.
